Welcome to The Zen Bookkeeper, operated by Zen Partner Enterprises, LLC. By accessing or using our website at www.thezenbookkeeper.net, using our client portal at portal.thezenbookkeeper.net, purchasing our products, or engaging our services, you agree to the following terms. If you do not agree, please do not use our site.

If you are a bookkeeping client, these terms are not your engagement letter. Your engagement letter defines the services we provide, what they cost, and how either of us can end the relationship. If anything here conflicts with your signed engagement letter, the engagement letter wins.

Use of This Website

You may use this website for lawful purposes only. You agree not to:

• Use the site in any way that violates applicable federal, state, or local laws.
• Attempt to gain unauthorized access to any part of the site or its related systems.
• Reproduce, distribute, or publicly display any content from this site without our written permission.

We reserve the right to restrict or terminate your access to the site at our discretion if we believe you are violating these terms.

Digital Product Purchases

We sell digital products, including Google Sheets budget calculators and other downloadable resources. By purchasing a digital product, you agree to the following:

• Personal use license. All digital products are licensed for your personal or internal business use only. You may not resell, redistribute, share publicly, or claim any product as your own.
• Delivery. Digital products are delivered electronically via email or Google Drive link after purchase. It is your responsibility to provide a valid email address at checkout.
• No refunds on digital downloads. Due to the nature of digital products, all sales are final. We do not offer refunds or exchanges once a product has been delivered. If you experience a technical issue accessing your purchase, please contact us at info@thezenbookkeeper.net and we will do our best to resolve it.

Payments

All payments are processed securely through Stripe. We do not store your credit card information on our servers. By making a purchase, you agree to Stripe's Terms of Service.

Bookkeeping Services

If you engage The Zen Bookkeeper for bookkeeping services, the scope, pricing, and terms of that engagement will be outlined in a separate service agreement. These website Terms & Conditions apply in addition to any service agreement.

The Client Portal

The client portal is for our clients and the people they authorize. You need to be at least 18 and able to enter a contract on behalf of your business.

We use sign-in links sent to your email instead of passwords, which means your email inbox is the key to your account. Keep it secure, and tell us immediately at info@thezenbookkeeper.net if you think someone else has access to your email or your portal account. Sign-in links are single use and expire after 15 minutes.

You are responsible for who you let into your account. If you ask us to give a partner, employee, or CPA access, you are responsible for what they do with it.

Do not use the portal to do anything illegal, upload anything malicious, attempt to access another client's data, attempt to break or probe our security, or scrape the system. We may suspend access if we reasonably believe the portal is being misused or that an account has been compromised.

Connecting Your Bank

The portal lets you connect bank and credit card accounts through Plaid so we can pull your transaction history.

• You confirm you are authorized to connect the accounts you connect.
• The connection is read only. We can see transactions. We cannot move money.
• We never see your banking username or password.
• You can disconnect at any time. If you do, we will not be able to keep your books current until it is reconnected.

Bank connections break sometimes, usually because a bank changed something or your credentials changed. That is normal, and we will ask you to reconnect when it happens. We are not responsible for gaps in your books caused by a connection you have not reconnected after we asked.

What You Are Responsible For

Bookkeeping is a two-way job. For your books to be right, we need you to:

• Give us complete and accurate information.
• Send documentation we ask for, such as receipts and statements, within a reasonable time.
• Tell us about accounts, loans, or transactions that are not visible in the connected feeds.
• Review the reports and flag anything that looks wrong.
• Answer our questions about unclear transactions.

We build your books from what you give us. If information is missing or wrong, the books will be too. We are not responsible for errors that come from incomplete or inaccurate information, or from a delay in getting us what we asked for.

What We Do and What We Do Not Do

We do categorize transactions, reconcile accounts, maintain your ledger, produce financial reports, and the other services described in your engagement letter.

We do not provide tax advice, prepare or file your tax returns, provide legal advice, provide investment advice, or perform an audit, review, or compilation under professional attestation standards. Nothing in the portal is an audited financial statement.

Your reports are a management tool. Your CPA or tax preparer is responsible for your tax filings. If you need one, we are glad to work alongside them.

Your Data and Your Documents

You own your financial data and the documents you upload. We hold them to do your work.

If our relationship ends, you may request a copy of your records, and we will provide them in a standard format within a reasonable time. We keep your records for seven years after your account closes, as described in our Privacy Policy.

Availability and Third-Party Services

We aim to keep the portal running, but it will occasionally be down for maintenance or because of a problem with a service we depend on. The portal is provided as is, without a guarantee of uninterrupted access. Your books do not depend on the portal being up at any given moment. If the portal is down and you need something, email us.

The portal depends on outside services, including Plaid for bank connections, Stripe for payments, and our hosting and storage providers. We choose these carefully, but we do not control them, and we are not responsible for their outages, errors, or their own handling of data under their own terms.

Ending Access

Either of us can end the bookkeeping relationship on the terms in your engagement letter. When the relationship ends, your portal access ends too. Before that happens, we will make sure you have had the chance to get copies of your records. We may end access immediately if the account is being misused, if there is fraud, or if the law requires it.

Confidentiality, payment obligations for work already done, the limitation of liability below, and our recordkeeping obligations all continue after access ends.

Intellectual Property

All content on this website,including text, graphics, logos, images, templates, digital products, and the overall design,is the property of The Zen Bookkeeper and is protected by copyright and intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works from any content on this site without our prior written consent.

The Zen Bookkeeper name, logo, and branding are our intellectual property. Unauthorized use is prohibited.

Limitation of Liability

To the fullest extent permitted by law, The Zen Bookkeeper and its owner, Aya, shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website or any products or services purchased through it.

Our total liability for any claim related to our products or services shall not exceed the amount you paid for the specific product or service giving rise to the claim.

We provide our website and digital products on an "as is" and "as available" basis, without warranties of any kind, express or implied.

For bookkeeping engagements, our total liability for any claim shall not exceed the fees you actually paid us in the twelve months before the claim arose. We are not liable for lost profits, lost business, or tax penalties and interest, except where those result from our own negligence or misconduct. Nothing here limits liability that cannot be limited by law.

Before either of us files a claim, we agree to try to resolve the issue directly and in good faith for at least 30 days.

Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law principles. Any disputes arising from these terms or your use of this website shall be resolved in the courts located in Dallas County, Texas.

Changes to These Terms

We reserve the right to update or modify these Terms & Conditions at any time. Changes take effect immediately upon posting to this page. We will update the "Last updated" date at the top when changes are made. Your continued use of the website after changes are posted constitutes your acceptance of the revised terms.
